Terms of Use
1. Acceptance of Terms
By accessing or using the Agentivity website, open-source software, or hosted cloud service (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms") and all documents referenced herein, including our Privacy Policy, Disclaimer, and AI & Automation Policy.
If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. In that case, "you" refers to both you individually and the organisation.
If you do not agree to these Terms, you must immediately cease all use of the Platform.
2. Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use Agentivity. By using the Platform, you represent and warrant that you meet this requirement.
You must not be subject to sanctions or trade restrictions that would prohibit your use of the Platform. Use of Agentivity is not permitted in jurisdictions where such use would be unlawful.
You must have the legal capacity to enter into a binding contract. If you are creating an account on behalf of a legal entity, you warrant that the entity is duly incorporated and in good standing.
3. Account Registration
Certain features of the Platform (including the hosted cloud service) require account registration. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at hello@agentivity.io if you suspect any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.
4. Description of the Platform
Agentivity is a no-code platform for building, configuring, and running AI agent teams. The Platform consists of three core components:
- Agent Studio — for defining reusable AI agents with specific roles, tools, and instructions.
- Team Studio — a visual canvas for composing agent teams and assigning collaboration topologies.
- Workflow Studio — for building deterministic, step-by-step automated workflows.
The Platform is available as:
- Open-source software — self-hosted under the Agentivity Sustainable Use Licence, available on GitHub.
- Hosted cloud service — managed infrastructure provided by Agentivity (when commercially available).
We reserve the right to modify, discontinue, or restrict access to any feature of the Platform at any time, with or without notice.
5. Licence to Use
Subject to your compliance with these Terms, Agentivity grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for your internal business or personal purposes.
This licence does not include the right to: resell or commercially exploit the Platform in violation of the Agentivity Sustainable Use Licence; copy, modify, or distribute the source code in ways not permitted by the applicable open-source licence; or use the Platform to develop a competing product or service.
The open-source version is governed by the Agentivity Sustainable Use Licence. Commercial use beyond the scope of that licence requires a separate written agreement with Agentivity.
6. Acceptable Use
You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of others. Acceptable uses include building AI agent workflows for legitimate business automation, research, personal productivity, and software development.
You are responsible for all agents you build, all workflows you deploy, and all actions taken by your agents on connected third-party services. The fact that an action is automated does not relieve you of legal or ethical responsibility for that action.
7. Prohibited Activities
The following activities are strictly prohibited and may result in immediate account termination and legal action.
You must not use the Platform to:
- Violate any applicable local, national, or international law or regulation.
- Generate, distribute, or facilitate the creation of illegal, defamatory, harassing, hateful, threatening, or sexually explicit content.
- Engage in fraud, deception, phishing, or impersonation of any person or entity.
- Build agents designed to manipulate, deceive, or psychologically exploit individuals.
- Send unsolicited bulk messages (spam) or operate mass outreach campaigns without appropriate consent.
- Scrape, harvest, or extract data from third-party services in violation of their terms of service.
- Circumvent or attempt to circumvent any security measures, access controls, or rate limits of the Platform or connected services.
- Introduce malware, viruses, or other malicious code into the Platform or any connected system.
- Use the Platform in any manner that could overload, damage, or impair our infrastructure or that of our third-party providers.
- Build agents that operate in high-risk domains — including but not limited to clinical medical diagnosis, financial investment advice, legal counsel, or child safety — without appropriate human oversight and professional review.
- Process sensitive personal data (including health data, biometric data, or data concerning criminal convictions) through AI agents without a lawful basis and appropriate safeguards under applicable data protection law.
- Violate the terms of service of any third-party platform integrated with your agents (including Slack, Gmail, HubSpot, Salesforce, and others).
8. AI Agents and Automated Actions
Important: AI agents configured on Agentivity can take real actions on connected services — sending emails, posting content, modifying data, and more. You are solely responsible for all such actions.
When you build and deploy an AI agent or workflow on Agentivity, you are authorising that agent to act on your behalf. This includes actions taken:
- In real time, in response to user inputs or triggers.
- Autonomously, on a schedule or in response to automated events.
- On third-party services connected via API integration.
You acknowledge and agree that:
- Agentivity does not pre-screen, approve, or monitor the specific actions taken by your agents.
- You bear sole legal and financial responsibility for any consequences arising from agent actions, including errors, unintended outputs, or violations of third-party terms.
- AI-generated outputs may be inaccurate, incomplete, or inappropriate. You are responsible for implementing appropriate human review mechanisms before acting on any output.
- Scheduled and triggered workflows may run without your active involvement. You must ensure that any such workflows are configured safely and reviewed regularly.

9. Third-Party Services and Integrations
The Platform enables integration with a wide range of third-party services (including Slack, Gmail, Google Sheets, HubSpot, Salesforce, Stripe, GitHub, and others). These integrations are subject to the terms and privacy policies of those third parties, which are entirely independent of Agentivity.
Agentivity is not responsible for the availability, accuracy, security, or performance of any third-party service. We do not endorse any third-party service and make no warranties regarding their fitness for any particular purpose.
You are responsible for obtaining all necessary permissions and authorisations from third-party service providers before connecting your agents to those services. Any violation of a third-party service's terms of service as a result of your agent's actions is your sole responsibility.
10. LLM Providers, API Keys and Model Responsibility
Agentivity is an orchestration platform only. We do not provide, host, or operate any AI model. All AI inference is performed by LLM providers you independently select, using your own API credentials.
Agentivity provides the tooling to build agent workflows and connect them to AI models of your choice. When you configure agents to use a large language model — such as those provided by OpenAI, Anthropic, Google, Mistral, or others — you must independently obtain and provide your own API credentials. The following applies:
- All LLM usage occurs on the provider's infrastructure, entirely outside Agentivity's systems.
- Agentivity has no access to, visibility into, or control over the data you send to or receive from any LLM provider.
- Agentivity bears no responsibility for the accuracy, quality, safety, or behaviour of any LLM output.
- All API costs generated through your use of LLM providers are your sole responsibility.
- Your use of any LLM provider is governed exclusively by that provider's terms of service, usage policies, and privacy policy — not by Agentivity.
You are solely responsible for reviewing and complying with the terms of service of any LLM provider you connect to the Platform, and for ensuring that the data you submit to those providers complies with applicable data protection law. Agentivity's liability for any LLM-related matter is expressly excluded to the fullest extent permitted by law.
11. Intellectual Property
Agentivity and its licensors retain all intellectual property rights in and to the Platform, including the software, design, trademarks, logos, and documentation. Nothing in these Terms transfers any ownership of Agentivity's intellectual property to you.
You retain ownership of all agent configurations, workflow designs, and content you create using the Platform ("User Configurations"). By creating User Configurations on the hosted service, you grant Agentivity a limited, non-exclusive licence to store, process, and transmit your User Configurations solely for the purpose of providing the service.
You represent and warrant that your User Configurations do not infringe the intellectual property rights of any third party.
12. Fees and Payment
The open-source, self-hosted version of Agentivity is free of charge and subject to the Agentivity Sustainable Use Licence.
The hosted cloud service (when commercially available) will be offered under paid subscription plans. Pricing, billing cycles, and feature inclusions will be published on our website. All fees are exclusive of applicable taxes unless stated otherwise.
Fees are non-refundable except as required by applicable consumer protection law. We reserve the right to change pricing at any time, with at least 30 days' notice for existing subscribers.
Failure to pay applicable fees may result in suspension or termination of your access to the hosted service.
13. Service Availability and Modifications
We do not guarantee that the Platform will be available at any particular time or without interruption. The hosted service may be subject to scheduled maintenance, unplanned outages, or limitations due to third-party infrastructure.
We reserve the right to modify, suspend, or discontinue any feature or the entire Platform at any time, with or without notice, and without liability to you. We will make reasonable efforts to notify users in advance of significant changes.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available", without any warranty of any kind, whether express, implied, or statutory.
Agentivity expressly disclaims all warranties, including but not limited to: implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement; warranties that the Platform will meet your requirements or be error-free; warranties regarding the accuracy, completeness, or reliability of any AI-generated output; and warranties that data stored on the Platform will not be lost or corrupted.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply only to the fullest extent permitted by law.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Agentivity, its directors, employees, contractors, and licensors shall not be liable for any:
- Indirect, incidental, special, consequential, punitive, or exemplary damages.
- Loss of profits, revenue, data, business, or goodwill.
- Business interruption or loss of anticipated savings.
- Damages arising from AI agent errors, hallucinations, or unintended actions.
- Damages arising from the actions of third-party services connected to your agents.
- Damages resulting from unauthorised access to your account or data.
Even if Agentivity has been advised of the possibility of such damages, and even if any remedy fails of its essential purpose.
In no event shall Agentivity's total aggregate liability to you for all claims arising from or related to your use of the Platform exceed the greater of: (a) the total fees paid by you to Agentivity in the twelve months preceding the claim, or (b) €100.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
16. Indemnification
You agree to indemnify, defend, and hold harmless Agentivity and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to:
- Your use of or access to the Platform.
- Any actions taken by AI agents you have built or deployed.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of the terms of service of any third-party service connected to your agents.
- Any content or data you provide to the Platform or process through your agents.
- Your infringement of any third party's intellectual property or privacy rights.
17. Termination
You may stop using the Platform at any time. If you have a paid subscription, you may cancel it according to the cancellation procedures published on our website.
We reserve the right to suspend or terminate your access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to the Platform or other users.
Upon termination: your right to use the Platform ceases immediately; we may delete your account data subject to our data retention policy; provisions of these Terms that by their nature should survive termination (including Sections 7, 8, 11, 14, 15, 16, and 18) shall continue to apply.
18. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or your use of the Platform shall be submitted to the exclusive jurisdiction of the courts of Belgium. If you are a consumer in a European Union member state, you may also benefit from mandatory consumer protection rights under the law of your country of residence.

19. Modifications to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, by email or in-app notification.
Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Platform.
20. Miscellaneous
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Entire Agreement: These Terms, together with our Privacy Policy, Disclaimer, and AI & Automation Policy, constitute the entire agreement between you and Agentivity regarding your use of the Platform.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
